Definitions and Essential Terms

Both you and the Company may be referred to as “Party” or collectively as the “Parties” within this context.

If you access the website on behalf of an employer or other entity (“Organisation”), the terms “you” and “your” also apply collectively to both you as an individual and the Organisation. By using or purchasing a license for the website, you confirm that you are authorized to act on behalf of the Organisation and bind it to this Agreement.

By downloading, installing, accessing, or using the website, you affirm that you are authorized to do so and agree to abide by this Agreement. If you disagree with any terms, you should not download, install, access, or use the website and should delete it if already downloaded.

License

Subject to this Agreement’s terms, BestRate.org grants you a limited, non-exclusive, revocable, non-transferable license to:

• (a) Download, install, and use the Application on a single computing device per license purchased.
• (b) Access, view, and use the materials provided within the Application on your device in strict accordance with this Agreement.
• (c) Use the trial version of the Application on any number of devices for fifteen (15) days following installation.
• (d) Receive updates and new features within one (1) year of your license purchase.

Restrictions

You agree not to, and not to permit others to:

• License, sell, rent, or otherwise commercially exploit the Application.
• Modify, reverse engineer, or create derivative works from the Application.
• Remove or alter any proprietary notices on the Application.

Intellectual Property

The Application and all associated intellectual property rights, including trademarks, copyrights, and patents, remain the exclusive property of BestRate.org or its licensors. This Agreement grants you a license to use the Application as part of your licensed usage, and any unauthorized use may be considered infringement.

You retain ownership of any work products created through your use of the Application.

Your Suggestions

Any suggestions or feedback you provide regarding the Application become the sole property of BestRate.org, which can use them without obligation to you.

Modifications and Updates

BestRate.org may modify or discontinue the Application at any time without liability. Updates may modify or delete features, and you agree to such changes as part of this Agreement.

Third-Party Services

The Application may display or link to third-party content, which is not under BestRate.org’s control. You use such services at your own risk.

Term and Termination

This Agreement remains effective until terminated. It may be terminated by either party at any time, with immediate effect if you breach its terms. Upon termination, you must cease all use of the Application and delete all copies.

Indemnification

You agree to indemnify BestRate.org against any claims or damages arising from your use of the Application or breach of this Agreement.

No Warranties

The Application is provided “AS IS” without any warranties. BestRate.org disclaims all warranties to the extent permitted by law.

Limitation of Liability

BestRate.org’s liability is limited to the amount you paid for the Application, and it is not liable for indirect damages unless required by law.

Severability, Waiver, and Amendment

Invalid provisions will be modified to reflect the intent, and all other provisions remain in effect. Failure to enforce any part of this Agreement does not waive that part. Terms may be amended with notice.

Governing Law

This Agreement is governed by the laws of Australia and applicable international laws.
